Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Azaris LLC(“Azaris,” “we,” “us,” or “our”) governing your access to and use of our website, products, and services (the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

Plans and the Services

We offer a self-serve subscription plan (“Self-Serve”) and a managed engagement (“Done-For-You”). Done-For-You engagements may be subject to a separate order form or statement of work, which controls in the event of a conflict with these Terms for that engagement. We may add, change, or discontinue features over time.

Subscriptions, billing, and cancellation

• Fees. Paid plans are billed in advance on a recurring basis (e.g., monthly) at the price shown at purchase, plus applicable taxes. Payments are processed by our payment processor (Stripe).
• Auto-renewal. Subscriptions automatically renew for successive periods until cancelled. By subscribing, you authorize us to charge your payment method for each renewal.
• Cancellation. You may cancel at any time, effective at the end of the current billing period. Cancellation stops future charges; it does not retroactively cancel a period already started.
• Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods or unused features.
• Price changes. We may change prices; changes apply to renewals after we provide reasonable notice.
• Non-payment. If a charge fails or your account is past due, we may suspend or terminate access.

Acceptable use

You agree not to, and not to permit others to:

• Use the Services for any unlawful, harmful, or fraudulent purpose.
• Send spam or violate the terms or policies of any connected platform or channel.
• Infringe intellectual property, privacy, or other rights.
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Services.
• Use the Services to generate or distribute unlawful, deceptive, or abusive content.

Your content and connected accounts

You retain ownership of the content and data you provide or connect (“Customer Content”). You grant us a limited license to host, process, and transmit Customer Content solely to provide and improve the Services. You represent that you have the rights and consents necessary to provide Customer Content and to connect any third-party accounts, and you are responsible for your agents’ actions on the channels and tools you connect.

AI-generated output

The Services use artificial intelligence to generate responses and take actions. AI output may be inaccurate, incomplete, or unsuitable, and is provided without warranty. You are responsible for reviewing and supervising agent activity and for any decisions or actions taken based on the output. Do not rely on the Services for professional, legal, medical, or financial advice.

Third-party services

The Services integrate with third-party platforms and providers. Your use of those services is governed by their terms, and we are not responsible for them.

Intellectual property

We and our licensors own the Services, including all related software, designs, and trademarks. Except for the rights expressly granted to you, no rights are transferred.

Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of liability

To the maximum extent permitted by law, Azaris will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the 12 months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Azaris from any claims, damages, and expenses arising out of your use of the Services, your Customer Content, or your violation of these Terms.

Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or to protect the Services. Upon termination, your right to use the Services ends; sections that by their nature should survive will survive.

Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, where appropriate, provide additional notice. Continued use after changes take effect constitutes acceptance.

Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles.
